Terms of Service

1. Acceptance of terms

By creating an account or using OfferPresenter ("the Service") you agree to these Terms of Service. If you do not agree, do not use the Service. We may update these Terms from time to time; continued use after changes are posted means you accept them.

2. What the Service does

OfferPresenter is a tool for licensed real estate professionals. It reads the documents you upload, extracts the offer terms for your review, and produces offer packages (a cover letter on your letterhead, a merged PDF, an email draft, and a share link) and comparison reports for the offers on a listing.

3. Eligibility

You must be at least 18 years old and a licensed real estate professional, or acting on behalf of one, to use the Service. By using it you represent that you meet these requirements.

4. Your account

You are responsible for keeping your login secure and for everything that happens under your account. The profile information you provide (name, brokerage, contact details, and logo) must be accurate and current. Let us know right away if you suspect unauthorized access.

5. Acceptable use

You agree to:

• Upload only documents you are authorized to use and share
• Use the Service only for legitimate real estate business
• Not reverse-engineer, copy, scrape, or overload the Service
• Not upload files containing malware or malicious content
• Not use the Service in any way that violates applicable law
• Not share your login or let others use the Service through your account

6. Your documents and content

You own the documents you upload and the information in them. By uploading, you grant us a limited license to process them solely to provide the Service: extracting terms, drafting cover letters and emails, merging PDFs, building comparison reports, and serving share links. We claim no ownership of your content. How long we keep it is described in the Privacy Policy.

You are solely responsible for the accuracy and legality of the documents you upload and the information they contain.

7. Review everything before you send it

The Service uses a large language model to read your documents and to draft cover letters and emails. Extracted terms can be wrong or incomplete, and drafted text can contain errors. The Service shows you every extracted value and every draft so you can check and correct them.

You are responsible for reviewing all output before you use or send it. OfferPresenter is a productivity tool, not a substitute for reading the contract or for your professional judgment.

8. Cost and availability

OfferPresenter is provided free of charge. There is no subscription, no payment method on file, and no charge of any kind. A daily limit on the number of documents one account can process exists only to keep the Service running for everyone.

The Service is built and run by one person. We may change, pause, or discontinue it, in whole or in part, at any time. If the Service is discontinued we will make reasonable efforts to give account holders notice first.

9. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted or error-free, or that extracted terms, cover letters, email drafts, or comparison reports will be accurate or complete.

OfferPresenter is not a legal, financial, or real estate advisory service. Everything it produces is for convenience and information only and is not professional advice.

10. Limitation of liability

To the fullest extent permitted by law, OfferPresenter and its owner and service providers are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including damages from inaccurate extracted terms, errors in drafted text, service interruptions, or loss of data.

Because the Service is free, our total liability for any claim related to it is limited to one hundred US dollars.

11. Indemnification

You agree to indemnify and hold harmless OfferPresenter and its owner and service providers from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

12. Termination

We may suspend or end your access to the Service at any time for a violation of these Terms or for any other reason at our discretion. You may close your account at any time by contacting us. When your account ends, your right to use the Service ends with it.

13. Governing law

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict of law rules. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Minnesota.
